Welcome to Nelly Ghaffar (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website www.nellyghaffar.com (the “Site”) and any services we provide, including subscription services, custom video messages, and sales of physical goods (collectively, the “Services”).

By accessing or using our Site or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Site or Services.

  1. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use our Services. By using the Site, you represent and warrant that you meet these requirements and that all information you provide is accurate.

2. Services Provided

  • Subscription Service: We offer paid subscription plans that grant you access to exclusive content or features, as described on the Site.

  • Video Messages: We sell custom video messages (“Video Messages”) which may be subject to additional instructions and guidelines.

  • Physical Goods: We sell tangible products, subject to availability and applicable shipping policies. We reserve the right to modify, suspend, or discontinue any Service at our sole discretion.

3. Account Registration

  1. Certain Services require an account. You agree to:

  • provide accurate and complete registration information,

  • keep your password secure,

  • promptly update any changes,

  • be responsible for all activities under your account.

  • We reserve the right to suspend or terminate any account where we reasonably suspect a breach of these Terms.

4.  Pricing and Payment

  • All prices are stated in pounds sterling (£) and include VAT where applicable.

  • We may change prices at any time, but such changes will not affect orders already accepted.

  • Payment must be made via our approved payment methods at the time of purchase.

  • We reserve the right to cancel any order if payment is not successfully processed or if fraudulent activity is suspected.

5. Subscriptions, Renewals & Cancellation

  • ·Subscription plans will renew automatically at the end of each billing period unless you cancel before the renewal date.

  • ·You can cancel your subscription at any time through your account or by contacting us at nellyghaffar.com

  • ·nless otherwise required by law, subscription fees are non-refundable for the current billing period once paid.

  • ·Your statutory rights under UK consumer law are not affected.

6. Delivery of Physical Goods

  • Delivery times and costs will be confirmed at checkout.

  • Risk of loss and title in the goods pass to you when the goods are delivered to the delivery address you provided.

  • You have a legal right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel most online purchases within 14 days of receiving the goods and receive a refund, subject to certain exceptions (for example, personalised or perishable items).

  • To exercise the right to cancel, you must inform us within 14 days of delivery. You then have 14 days to return the goods at your cost (unless the goods are faulty).

7. Personalised Video Messages

  • Personalised Video Messages are made to your individual specifications and are therefore exempt from the 14-day cancellation right once production has begun, in accordance with the Consumer Contracts Regulations 2013.

    However, your statutory rights regarding defective or misdescribed goods and services still apply.

  • Personalised Video Messages are created according to your individual instructions and are therefore classed as customised goods/services under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

  • No Right to Cancel After Completion: Once a Video Message has been produced and delivered to you (for example, sent by email or made available for download/streaming), the transaction is considered complete.

  • No Refunds: Because the Video Message is a bespoke, personalised product, no refunds will be issued once the video has been completed and sent, unless it is defective or not in accordance with the agreed specification, in which case your statutory rights under UK consumer law remain unaffected.

  • All personalised Video Messages provided by www.nellyghaffar.com are for strictly private and personal use only. You agree that:

  • The Video Messages may not be uploaded, posted, published, distributed, or otherwise shared on any social media platform (including but not limited to Facebook, Instagram, TikTok, YouTube, X/Twitter, or similar), or any public website or broadcast medium, without our prior written consent.

  • The Video Messages may not be sold, licensed, or used for any commercial purpose.

  • Any unauthorised use or distribution of the Video Messages constitutes a breach of these Terms and may infringe our intellectual property rights, and we reserve the right to take appropriate legal action to protect those rights.

8. Intellectual Property

  • All content on the Site, including text, graphics, logos, videos and software, is our property or licensed to us and protected by copyright, trademark and other intellectual property rights.

  • You are granted a limited, non-exclusive, non-transferable licence to access and use the Site for personal, non-commercial use only.

    You may not copy, reproduce, distribute, modify or create derivative works without our prior written consent.

9. User-Generated Content

  • If you submit any content (including instructions for Video Messages, reviews or feedback) you grant us a worldwide, royalty-free, perpetual, irrevocable and sublicensable licence to use, reproduce, modify and display such content to provide and promote the Services.

  • You warrant that you have all rights necessary to submit such content and that it does not infringe the rights of any third party or breach any law.

10. Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations.

  • Infringe the intellectual property rights of others.

  • Upload or transmit viruses, malware, or harmful code.

  • Harass, abuse, or harm others.

  • Attempt to gain unauthorized access to the Site or Services.

  • Use the Site for fraudulent or deceptive purposes.

  • Resell or commercially exploit the Services without authorization.

  • Interfere with or disrupt the operation of the Site or Services.

11. Third-Party Links

  1. Our Site may contain links to third-party websites. We are not responsible for the content or practices of these sites. Your use of third-party websites is at your own risk.

12. Disclaimer of Warranties

  • You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, and employees from any claims, damages, liabilities, costs, or expenses arising from:

  • Your use of the Site or Services,

  • Your violation of these Terms,

  • Your infringement of any third-party rights.

15. Dispute Resolution

Governing Law

  • These Terms and any disputes or claims (including non-contractual disputes or claims) are governed by the laws of England and Wales.

  • Informal Resolution

  • You agree to attempt to resolve any dispute informally by contacting us at enquiries@nellyghaffar.com and allowing 30 days for a response.

  • Jurisdiction

  • If we cannot resolve the dispute informally, the courts of England and Wales will have exclusive jurisdiction.

16. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to us or other users.

17. Changes to Terms

We may update these Terms at any time. Changes will be effective when posted on the Site with the updated “Last Updated” date. Your continued use of the Services constitutes acceptance of the revised Terms.
